1

Chapter 1 General Principles

Article 1
This association shall be known as the Chinese Taipei Automobile Federation (hereafter referred to as "CTAF").

Article 2
CTAF is a non-profit civil organization established in accordance with the law dedicated to providing automobile and motorcycle users with safe and trusted services as well as the promotion of industry development, road safety and environmental protection. At the same time, CTAF will connect with other international automobile organizations to share each other's experience and boost the international visibility of Taiwan. CTAF will also encourage public understanding and participation in the motor sport and recreation industry so that they will in turn actively take part in CTAF-related activities as well.

Article 3
CTAF shall be organized on a national level.

Article 4
CTAF is located in jurisdiction of its Competent Authority. Branch organizations may be established with the approval of the Competent Authority. The organizational charter of the aforementioned branch organization shall be formulated by the Board of Directors and takes effect upon approval by the Competent Authority. The Competent Authority should be notified in writing of any changes to the address of the CTAF or its branch organizations.

Article 5
The missions of the CTAF are as follow:
(1) Promotion of international exchange: Engage in regular exchanges and interactions such as international symposiums, workshops and exhibitions. Build closer relations with international organizations such as Federation Internationale de l'Automobile (FIA), and Federation Internationale de Motocyclisme (FIM), as well as foster friendly relations with other national and regional automobile organization. Embrace a global vision based in Asia.
(2) Provide assistance to automobiles and motorcycles: CTAF shall provide professional advice and assistance to member clubs and vendors as well as other national or regional automobile/motorcycle organization partners.
(3) Serve as the advocate for automobile/motorcycle users: To protect driver safety and the interests of automobile/motorcycle users, CTAF shall liaise closely with the relevant departments and serve as a bridge for communication between all parties so that win-win outcomes can be achieved.
(4) Education and training: CTAF will host automobile/motorcycle-related education and training symposiums to raise the standards of workers in related industries; professional courses will also be provided to help interested people enter the automobile/motorcycle industry.
(5) Technology upgrade: Study motor sports technologies and applications, introduce electronic information, and promote public education so that people and groups in Taiwan interested in the automobile/motorcycle industries can obtain the latest information.
(6) Driver insurance: CTAF will work actively with leading insurance companies to assist drivers seeking to enter international competitions obtain insurance coverage.
(7) Product certification: CTAF will establish FIA/FIM-compliant product guidelines to promote the vibrant development of the domestic automobile and motorcycle industry as a whole. Quality domestic and foreign vendors that join the CTAF will receive assistance with the certification of motor sport products they produce to enhance their products' international competitiveness.
(8) Promote a safe driving environment: Help promote vehicle safety, promote the healthy development of vehicle communities, create an environment friendly to vehicle-related activities in Taiwan, and work together on road safety to protect drivers and riders.
(9) Environmental guidelines: Provide vehicle users with information on environment, resource and energy issues, actively support initiatives for raising environmental awareness, boost the environmental awareness of everyone in the industry, promote environmental education and environmental protection activities.
(10) Road-side assistance: Manage certification of rescue skills, constantly train for disasters and other special rescue activities, and set up a database of special vehicles that can take part in disaster rescue operations.
(11) Other educational and promotional activities related to the automobile and motorcycle industry are a part of CTAF's mission as well.

Article 6
The Ministry of the Interior is the Competent Authority of CTAF. The Competent Authority shall guide and supervise the operational activities of CTAF.

Chapter 2 Members

Article 7
CTAF membership is divided into the following three categories:
(1) Individual members: Any person who agrees with the mission of CTAF regardless of their gender may apply for CTAF membership if they are over the age of 20 and hold a R.O.C. National ID. They become an individual member once their application is approved by the Board of Directors and the membership dues are paid.
(2) Organizational member: Any institution or organization that agrees with the mission of CTAF may apply for CTAF membership. They become an organizational member once their application is approved by the Board of Directors and the membership dues are paid. Each organization member may appoint one person as their representative to exercise membership rights on its behalf.
(3) Honorary member: Any individual or organization that made an important contribution to CTAF may become an honorary member if they are nominated by 2 CTAF Directors and the nomination is approved by the Board of Directors.

Article 8
Members (members' representative) have the right to vote, the right of election, the right to be elected, and the right of recall. Each member (members' representative) has one vote.

Article 9
Members are expected to adhere to the CTAF charter and resolutions, and pay membership dues. Membership rights are suspended if membership dues are not paid. Failure to pay the membership dues for two (2) consecutive years shall be considered an automatic withdrawal from CTAF. The expulsion, withdrawal or suspension of members should be reviewed by the Board of Directors. If a member wishes to apply for the restoration of their membership or membership rights, they must pay all outstanding membership dues to date unless they can show cause and it is approved by the Board of Directors.

Article 10
A member (members' representative) that violates the law, Charter or fails to adhere to a resolution of the General Meeting may be issued a warning or suspended by a resolution of the Board of Directors. If serious harm is caused to CTAF then they may be expelled by a resolution of the General Meeting.

Article 11
Membership is revoked in any of the following circumstances:
(1) No longer eligible for membership.
(2) Expelled by a resolution of the General Meeting.

Article 12
A member may withdraw from the CTAF by specifying their reason in writing.

Chapter 3 Organization and Authority

Article 13
The General Meeting is the top decision-making body of CTAF. If there are more than 5 members (members' representative) then members' representatives can be nominated before a General Meeting of Members' Representatives is convened to exercise the authority of the General Meeting. Members' representatives serve for a term of three (3) years. The number of representatives and the rules for their election shall be drawn up by the Board of Directors then submitted to the Competent Authority for approval before implementation.

Article 14
The authority of the General Meeting (of Members' Representatives) is as follows:
(1) The authoring and amending of the Charter.
(2) The election and recall of Directors and Supervisors.
(3) Decide on the amount and format of membership fees, annual membership dues, operating fees, and member donations.
(4) Decide on the annual work plan, report, budget and final account.
(5) Decide on the expulsion of members (members' representative).
(6) Decide on the disposal of assets.
(7) Decide on the dissolution of CTAF.
(8) Decide on other matters of importance related to members' rights and obligations. The scope of matters of importance as mentioned in Subparagraph 8 above shall be defined by the Board of Directors.

Article 15
CTAF will appoint 11 Directors and 3 Supervisors as elected by the members (members' representatives) to form a Board of Directors and Board of Supervisors. When the aforementioned Directors and Supervisors are being elected, 3 alternative Directors and 1 alternative Supervisor may also be elected at the same time based on the tally of votes. If a Director or Supervisor's position is vacated then it shall be filled by the next alternate in order. The Board of Directors may propose a list of candidates for the next election of Directors and Supervisors. Postal voting may be used for the election of Directors and Supervisors. The rules for postal voting shall be approved by the Board of Directors then submitted to the Competent Authority for approval before implementation.

Article 16
The authority of the Board of Directors is as follows:
(1) Review the eligibility of members (members' representatives).
(2) The election and recall of Standing Directors, Deputy President and President.
(3) Decide on the resignation of Directors, Standing Directors, Deputy President and President.
(4) The hiring and dismissal of staff.
(5) Drawing up the annual work plan, report, budget and final account.
(6) Other matters requiring execution.

Article 17
The Board of Directors shall appoint 3 Standing Directors. The Standing Directors shall be elected by the Directors from among themselves. The Directors shall also elect one of the Standing Directors as the President and another as the Deputy President. The President oversees the internal affairs of CTAF and acts as its external representative. The President also chairs the General Meeting and Board of Directors.
If the President is unavailable for any reason then he or she should appoint a Deputy President as the representative. If none is specified for any reason then the Deputy Presidents shall nominate 1 of their number to act as the representative. If the position of President, Deputy President or Standing Director becomes vacant then a make-up election should be held within 1 month.

Article 18
The authority of the Board of Supervisors is as follows:
(1) Supervise the activities of the Board of Directors.
(2) Review the annual final accounts.
(3) The election and recall of the Standing Supervisor.
(4) Decide on the resignation of Supervisors and Standing Director.
(5) Other matters requiring supervision.

Article 19
The Board of Supervisors shall appoint 1 Standing Supervisor as its chairman. The Standing Supervisor shall be elected by the Supervisors from among themselves to supervise the day to day activities of CTAF and serve as the chairman of the Board of Supervisors. If the Standing Supervisor is unavailable for any reason then he or she should appoint a Supervisor as the representative. If none is specified for any reason then the Supervisors shall nominate 1 of their number to act as the representative.
If the position of Chairman of the Board of Supervisors (Standing Supervisor) becomes vacant then a make-up election should be held within one (1) month.

Article 20
Directors and Supervisors are all unpaid positions. Each term is for three (3) years and they may be elected to consecutive terms. The President may only serve for 1 consecutive term. The terms of Directors and Supervisors start on the day that the current Board of Directors is convened for the first time.

Article 21
A Director or Supervisor should be removed immediately in any of the following situations:
(1) No longer eligible for membership.
(2) Resignation has been approved by the Board of Directors or Board of Supervisors.
(3) Recalled or dismissed.
(4) Suspended for a period longer than half of their term.

Article 22
CTAF shall appoint 1 Secretary-General and 1 Deputy Secretary-General answerable to the President for the handling of CTAF affairs. Other staff may be nominated by the President and submitted to the Board of Directors for employment or dismissal with the Competent Authority notified for reference.
The aforementioned staff positions may not be held by Directors or Supervisors.
Staff authority and their responsibilities shall be separately defined by the Board of Directors.

Article 23
CTAF may set up committees, teams or other internal operating organizations. Their organizational charter and any changes to said charter require the approval of the Board of Directors.

Article 24
The CTAF Board of Directors may appoint a number of Honorary Presidents, Honorary Directors and Consultants for a term identical to those of Directors and Supervisors.

Chapter 4 Meeting

Article 25
The General Meeting (of Members' Representatives) can be either a regular meeting or an extraordinary meeting convened by the President. When a meeting is to be convened, notice should be sent in writing fifteen (15) days before unless an extraordinary meeting is being convened in an emergency.
The regular meeting is convened once every two (2) years. An extraordinary meeting may be convened if the Board of Directors considers it to be necessary, if it is requested by at least 1/5 of all members (members' representatives), or a request is issued by the Board of Supervisors.
Once CTAF is registered as a legal entity then extraordinary meetings may be convened if more than 1/10 of all members (members' representatives) requests it.

Article 26
If a member (members' representative) cannot attend the General Meeting in person, he or she may ask another member (members' representative) in writing to act on their behalf. Each member (members' representative) may represent up to 2 people.

Article 27
Resolutions can be passed by a majority vote at the General Meeting (of Members' Representatives) if more than half of all members (members' representatives) are in attendance. The following matters however require a 2/3 majority of those in attendance.
(1) The authoring and amending of the Charter.
(2) Expulsion of members (members' representative).
(3) Recall of Directors and Supervisors.
(4) Disposal of assets.
(5) Dissolution of CTAF.
(6) Other matters of importance related to members' rights and obligations.
Once CTAF is registered as a legal entity then amendments to the charter requires a 3/4 majority of those in attendance, or written agreement from more than 2/3 of all members. CTAF may be dissolved at any time by a 2/3 majority of all members.

Article 28
The Board of Directors shall be convened once every six (6) months and the Board of Supervisors shall be convened once every six (6) months. Joint meetings or extraordinary meetings can be convened if necessary.
When the aforementioned meetings are to be convened, notice in writing should be issued seven (7) days in advance except for extraordinary meetings. Resolutions from the meeting require at least half of all Directors and Supervisors to be in attendance and a majority vote from those in attendance.

Article 29
Directors should attend Board of Directors meetings and Supervisors should attend Board of Supervisors meetings. Proxies may not attend meetings of the Board of Directors or Board of Supervisors. Any Director or Supervisor absent at two consecutive meetings of the Board of Directors or Board of Supervisors shall be considered to have resigned.

Chapter 5 Funding and Accounting

Article 30
CTAF has the following sources of funding:
(1) Membership fee: 5,000 NTD payable upon admission that counts as their membership dues for the first year.
(2) Annual membership dues: 5,000 NTD.
(3) Operating fees.
(4) Member donations.
(5) Contract income.
(6) Fund and interest.
(7) Other income.

Article 31
CTAF financial year is based on the calendar year and runs from January 1 through to December 31 of every year.

Article 32
The CTAF Board of Directors shall compile the annual work plan, budget, employee compensation table two (2) months before the start of each financial year and submit them to the General Meeting for approval (If the General Meeting could not be convened in time then submit them to a joint meeting of the Board of Directors and Supervisors for approval first). The information is then submitted to the Competent Authority for before the start of the financial year. At the end of the financial year, the Board of Directors shall, within two (2) months, compile the annual work report, income and expenditure statement, statement of cash receipts and disbursements, statement of financial position, general inventory and fund income and expenditure statement to the Board of Supervisors for review. The information and review opinion is then returned to the Board of Directors to be submitted for approval by the General Meeting. The information is then reported to the Competent Authority by the end of March (if the General Meeting could not be convened on time then report to the Competent Authority first).

Article 33
Upon the dissolution of CTAF, all remaining property belongs to the local self-government body at its location or the government body designated by the Competent Authority.

Chapter 6 Appendix

Article 34
Any matters not covered by the Charter shall be handled in accordance with the relevant laws and regulations.

Article 35
This Charter was approved by the General Meeting (of Members' Representatives) and the Competent Authority was notified prior to its implementation. Any amendments shall follow the same procedure.
